1. Acceptance of Terms

2. Description of Services

ANDREA BOUTIQUE LLC provides professional technology services within the computer systems design and related services industry, including but not limited to: enterprise systems architecture design and planning; computer integrated systems design; system integration and interoperability engineering; cybersecurity architecture and framework deployment; cloud infrastructure strategy and migration; data and analytics engineering; managed technology operations and support; and technology consulting and advisory services.

All services are provided pursuant to a separate written agreement, statement of work, or service order executed by both parties. The scope, deliverables, timeline, fees, and specific terms for each engagement will be set forth in the applicable service agreement. In the event of any conflict between these general Terms of Service and a separately executed service agreement, the terms of the service agreement shall prevail.

3. Intellectual Property Rights

3.1 Our Intellectual Property

Unless otherwise agreed in writing, ANDREA BOUTIQUE LLC retains all right, title, and interest in and to: all pre-existing intellectual property, tools, methodologies, frameworks, software code, templates, and know-how that we develop or use in the course of providing our services; the overall design, layout, content, graphics, and code comprising our website; and all trademarks, service marks, and trade names associated with ANDREA BOUTIQUE LLC. No license, assignment, or transfer of our intellectual property is granted except as expressly provided in a written agreement.

3.2 Client Deliverables

Subject to full payment of all applicable fees, we will assign to the client ownership of final deliverables specifically created for the client pursuant to a written service agreement. The assignment excludes our pre-existing intellectual property, which remains our property and is licensed to the client for use solely in connection with the deliverables.

4. User Obligations and Conduct

By using our website and services, you agree to the following obligations:

• You will provide accurate, current, and complete information when submitting inquiries, requests, or registration forms on our website.
• You will not use our website or services for any unlawful purpose or in violation of any applicable federal, state, local, or international law or regulation.

Each party agrees to hold the other party's confidential information in strict confidence, to use such information only for the purpose of performing under the applicable service agreement, and not to disclose it to any third party without the disclosing party's prior written consent, except as required by law or court order. Confidentiality obligations shall survive termination of the applicable service agreement for a period of three years, or indefinitely with respect to trade secrets.

6. Limitation of Liability

To the fullest extent permitted by applicable law, ANDREA BOUTIQUE LLC, its members, managers, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, loss of data, business interruption, or reputational harm, arising out of or related to your use of our website or services, whether such liability is based on contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability to you for all claims arising out of or relating to these Terms or our services exceed the total amount paid by you to ANDREA BOUTIQUE LLC for the specific service giving rise to the claim during the twelve months immediately preceding the event giving rise to the claim. The limitations set forth in this section shall apply even if any remedy fails of its essential purpose.

10. Governing Law and Jurisdiction

These Terms of Service and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Connecticut, without giving effect to any conflict of laws principles that would result in the application of the laws of another jurisdiction. Subject to the dispute resolution provisions below, the state and federal courts located in Connecticut shall have exclusive jurisdiction over any legal proceedings arising out of or relating to these Terms.

11. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms of Service, or the breach, termination, or validity thereof, shall first be attempted to be resolved through good-faith informal negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Connecticut, and the arbitrator's award shall be final and binding. Each party shall bear its own costs and fees, including attorneys' fees, unless the arbitrator determines otherwise.

12. Modifications to Terms

ANDREA BOUTIQUE LLC reserves the right to modify, amend, or replace these Terms of Service at any time, at our sole discretion. When we make material changes, we will post the updated Terms on this page and update the Last Updated date. Your continued use of our website and services after any such modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for changes.

13. General Provisions

• Relationship of Parties: Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and ANDREA BOUTIQUE LLC.
